Limited Liability Partnership (LLP) in India: A Detailed Overview
Introduction to LLP in India
Limited Liability Partnership (LLP) is a business structure in India that combines the advantages of both a partnership and a company. Introduced in India through the Limited Liability Partnership Act, 2008, an LLP is a preferred choice for entrepreneurs, professionals, and small businesses due to its limited liability protection, operational flexibility, and minimal compliance requirements.
Unlike traditional partnerships where partners have unlimited liability, LLP provides protection to its partners from the personal liability arising from business debts. This makes LLPs an attractive option for small businesses, service providers, and startups.
Key Features of LLP in India
- Separate Legal Entity: LLP is a distinct legal entity from its partners, meaning it can own property, sue, and be sued in its own name.
- Limited Liability: The liability of partners is limited to their capital contribution. Personal assets remain protected.
- Operational Flexibility: LLPs enjoy fewer regulatory requirements compared to companies, making compliance easier.
- No Minimum Capital Requirement: There is no mandated minimum capital contribution for LLPs.
- Perpetual Succession: LLPs continue to exist regardless of changes in partners.
- Tax Benefits: LLPs are taxed at a flat rate of 30% plus applicable surcharges and cess, and there is no dividend distribution tax (DDT).
- Foreign Direct Investment (FDI): 100% FDI is allowed in LLPs through the automatic route in sectors where 100% FDI is permitted.
Registration of LLP in India
To register an LLP in India, the following steps are followed:
- Obtain Digital Signature Certificate (DSC): Partners need DSCs to sign electronic documents.
- Obtain Director Identification Number (DIN): Each designated partner must have a DIN issued by the Ministry of Corporate Affairs (MCA).
- Name Reservation: File an application with MCA for name reservation via RUN-LLP (Reserve Unique Name -- Limited Liability Partnership).
- Filing Incorporation Documents: File Form FiLLiP (Form for Incorporation of LLP) along with necessary documents.
- Draft and File LLP Agreement: The LLP agreement outlines the roles, rights, and responsibilities of partners.
- Obtain Certificate of Incorporation: Upon verification, the Registrar of Companies (ROC) issues a Certificate of Incorporation.
- Apply for PAN & TAN: LLPs must obtain a Permanent Account Number (PAN) and Tax Deduction and Collection Account Number (TAN).
